CALL TO ORDER<\/strong><br \/>\nPresident Patty Wente called the meeting to order at 11:35 a.m.<\/p>\n<p class=\"paragraph\" style=\"color: #000000;\"><strong>II. SECRETARY\u2019S REPORT<\/strong><br \/>\nChristina Kuzmych provided the highlights of the report. The report is on the PRIMA website at PRIMA.org.<br \/>\nMotion to approve the Minutes made by Dorie Vallilo.<br \/>\nSeconded by Craig Beeby<br \/>\nApproved unanimously.<\/p>\n<p class=\"paragraph\" style=\"color: #000000;\"><strong>III. TREASURER\u2019S REPORT<\/strong><br \/>\nPRIMA Treasurer Dorie Vallilo reported<br \/>\nBalance in checking account 2\/28\/07\u00a0\u00a0\u00a0\u00a0 $12,167.53<br \/>\nIncome\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 $24,294.42<br \/>\nExpenses\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 $13,035.87<br \/>\nBalance in checking account 9\/25\/07\u00a0\u00a0\u00a0\u00a0 $23,426.08<br \/>\nComment by Cleve: The dues increase was the first dues increase in over 30 years. \u00a0It helped shore up the operating budget.<br \/>\nMotion to approve Treasurer\u2019s Report made by Anthony Hunt.<br \/>\nSeconded by Al Bartholet.<br \/>\nApproved unanimously.<\/p>\n<p class=\"paragraph\" style=\"color: #000000;\"><strong>IV. PRESIDENT\u2019S REPORT<\/strong><br \/>\nIt\u2019s been a great run as President of PRIMA. The organization achieved a lot, and stood proud.\u201d \u00a0\u00a0PRIMA has represented the values of stations and particularly those in the mid-west.\u00a0 The traditional PRIMA \u201crebelliousness\u201d is still there, tempered with reason and experience. PRIMA has always been an organization that supported good national ideas and progress, but also scrutinized new ideas with an eye towards \u201cthe good of the system.\u201d\u00a0 During Patty\u2019s presidency, PRIMA had the opportunity to fully vet various issues concerning public radio, and had the opportunity to think and react. \u00a0Patty is looking forward to working with PRIMA to continue representing stations in the mid-west, and in the system.\n<\/p>\n<p class=\"paragraph\" style=\"color: #000000;\"><strong>V. OLD BUSINESS<\/strong><br \/>\n<strong>Elections<\/strong><br \/>\nThe slate as created by the nominating committee was presented in ballot form.\u00a0 It was collected and tabulated.\u00a0 Patty Cahill, Chair of the nominating committee supervised. \u00a0The positions voted on were President, Secretary, Board Member No. 3.The following PRIMA members were elected into these positions.<br \/>\nPresident: Cleve Callison (previously Vice-President)<br \/>\nSecretary: Christina Kuzmych<br \/>\nTie for board No. 3: \u00a0Dan Skinner\/Bill Wheelhouse<br \/>\nPRIMA Board agreed to meet immediately after the Business Meeting to resolve the tie and appoint an individual into the Vice-Presidential position created through the election of Cleve Callison as President. \u00a0The resulting decision:<br \/>\nPresident: Cleve Callison<br \/>\nVice-President: Christina Kuzmych<br \/>\nSecretary: Dan Skinner<br \/>\nBoard Member No. 3: Bill Wheelhouse<\/p>\n<p class=\"paragraph\" style=\"color: #000000;\"><strong>Presentation of Service Award to Patty Wente<\/strong><br \/>\nCleve Callison presented PRIMA Presidential Service Award to Patty Wente.<br \/>\nPatty responded:\u00a0 Sees us more than just family members.\u00a0 We\u2019re going through an evolution not only in our own lives but in the life of PRIMA.\u00a0 It\u2019s great to share experiences. Many people served as inspiration including Dale Outz in Springfield Ill., Patty Cahill at Wichita, and Dorie Vallilo.Dorie Vallilo said that when she lost her daughter, Patty Wente drove up from St Louis to be her during a trying time.\u00a0 \u201cthis is the stuff Patty is made of.\u201d Patty Wente: \u201cAs you go forward, look for new blood, but don\u2019t let go of your Patty Cahills and Dorie Vallilo\u2019s. Good luck.\u00a0 Thank you for the honor of serving you.\u201d<\/p>\n<p class=\"paragraph\" style=\"color: #000000;\"><strong>Hosting of PRIMA at St Paul<\/strong><br \/>\nThank you to Eric Nycklemoe and the entire APM crew for hosting PRIMA.\u00a0 The meeting was extremely well organized. \u00a0Hotel arrangements easy.<\/p>\n<p class=\"paragraph\" style=\"color: #000000;\"><strong>VI. NEW BUSINESS<\/strong><br \/>\nOne of the morning\u2019s meetings consisted of a moderated discussion and distillation of the previous day\u2019s NPR Board Consultation discussion.<br \/>\n<strong>Resolution presented by Eric Nycklemoe:<\/strong><br \/>\n<strong>PRIMA resolves that the written response from this morning\u2019s review represents PRIMA\u2019s formal response to the Board consultations.\u00a0 This will be presented to the NPR Board at the next meeting.<\/strong><br \/>\nPatty Cahill moved that the Resolution be approved by acclamation.<br \/>\nSeconded by Jon Schwartz.<br \/>\nCleve Callison ruled that under Robert\u2019s Rules of Order a motion to approve by acclamation is non-debatable and must be approved by 2\/3 vote of the Membership.\u00a0 Membership unanimously approved voting by acclamation.\u00a0 The motion having passed, the resolution was voted upon and approved by a voice vote.<\/p>\n<p class=\"paragraph\" style=\"color: #000000;\"><strong>VII.
